These Terms and Conditions govern your use of mindxstudio.com and any services provided by MindxStudio, a digital product studio based in Dhaka, Bangladesh. We specialise in custom web development, mobile applications, digital marketing, CMS design, product design, and video production. Please read these terms carefully before engaging with us.

Acceptance of Terms
Agreement to These Terms
By accessing or using mindxstudio.com, engaging our services through our contact form, or entering into a project agreement with MindxStudio, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or engage our services.
Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your organisation. By accepting these terms, you represent and warrant that you meet these requirements. MindxStudio is a professional B2B and B2C digital studio; our services are not directed at minors.
Our Services
Scope of Services
MindxStudio provides professional digital services including, but not limited to: Custom Web Development (Next.js, React), Mobile Application Development (React Native, Flutter for iOS and Android), Digital Marketing (SEO, social media strategy, paid campaigns), CMS Design & Development (WordPress custom themes and plugins), Product & E-commerce Design (Shopify custom liquid themes, store integrations), and Video Editing & Motion Graphics.
Project Proposals & Agreements
All services are delivered under a separate and specific project agreement or Statement of Work (SOW) agreed upon between MindxStudio and the client prior to commencement. The SOW will define deliverables, timelines, milestones, and payment schedules. Submitting a contact form does not constitute a binding service agreement — an agreement is only formed once a formal proposal has been signed by both parties.
Engagement Process
Our standard engagement process involves: (1) Initial enquiry via contact form; (2) Discovery call to understand project requirements; (3) Proposal and SOW delivery; (4) Contract signing and deposit payment; (5) Project commencement through our defined development process — Discovery, Design, Engineering, QA, and Launch. We typically complete custom web and app projects within 6 to 12 weeks, depending on scope.
Custom Solutions
MindxStudio is a custom-first agency. All design work is created from scratch in Figma and engineered to your brand's specific requirements. Unless explicitly agreed in the SOW, we do not deliver pre-built templates or unlicensed third-party designs as final deliverables.
Payment & Billing
Pricing & Quotes
All pricing is provided on a value-based, project-fee basis or as a dedicated monthly retainer. Quotes are valid for 14 days from the date of issue. Pricing is clearly broken down in every proposal to include engineering hours, design sprints, revisions, and any third-party costs (e.g. hosting, domain, stock assets). We operate in USD unless otherwise agreed.
Payment Schedule
Standard payment terms are: 50% deposit required before project commencement, with the remaining 50% due upon project delivery before handover of final files or launch access credentials. For larger retainer engagements, invoices are issued monthly in advance. All payments are due within 14 days of invoice date unless otherwise specified in the SOW.
Late Payments
Invoices outstanding beyond 30 days from the due date may incur a late payment fee of 2% per month on the outstanding balance. MindxStudio reserves the right to pause active project work until outstanding invoices are settled. Final deliverables, source code, and login credentials will not be released until full payment is received.
Refund Policy
Deposits are non-refundable once the discovery and design phase has commenced. If a project is cancelled by the client after commencement, you are liable for payment for all work completed up to the cancellation date, calculated on a pro-rata basis. If MindxStudio cancels a project without cause, deposits will be refunded in full within 14 business days.
Intellectual Property
Ownership of Deliverables
Upon receipt of full and final payment, MindxStudio assigns all intellectual property rights for custom deliverables (website code, app code, designs, and video content created specifically for your project) to the client. Until final payment is received, all work-in-progress remains the intellectual property of MindxStudio.
MindxStudio's Pre-Existing IP
MindxStudio retains ownership of all pre-existing intellectual property, including internal frameworks, utility libraries, reusable code components, development methodologies, and design systems that existed prior to the project or were developed independently of the project. These may be used within client deliverables under a perpetual, non-exclusive licence but are not transferred to the client.
Portfolio Rights
Unless explicitly requested otherwise in writing, MindxStudio reserves the right to feature completed client work in our portfolio, case studies, social media profiles, and marketing materials. We will only display publicly available information about the project and will never share confidential business data without written approval.
Third-Party Assets
Any third-party fonts, stock images, icon sets, plugins, or software licences required for a project are the responsibility of the client to licence for their own use. MindxStudio will recommend appropriate resources but cannot be held responsible for client misuse of third-party licensed materials.
Client Responsibilities
Content & Assets
Unless a copywriting or content creation service is included in the SOW, clients are responsible for providing all required content (text, images, logos, brand guidelines, videos) in a timely manner. Delays in content delivery may result in project timeline extensions, for which MindxStudio cannot be held responsible.
Feedback & Approvals
Projects progress through defined review milestones. Clients are required to provide consolidated written feedback within 5 business days of each milestone delivery. Failure to respond within the review window will be deemed as approval, and the project will proceed to the next phase.
Accuracy of Information
Clients are responsible for ensuring that all information, content, and materials provided to MindxStudio are accurate, legal, and do not infringe upon the rights of any third party. MindxStudio cannot be held liable for any legal claims arising from client-supplied content.
Disclaimers & Limitation of Liability
No Guarantee of Results
While MindxStudio delivers data-driven digital marketing strategies and high-performance technical builds, we cannot guarantee specific business outcomes, revenue growth, search engine rankings, or conversion rates. Digital marketing performance is influenced by many external factors beyond our control, including market conditions, algorithm changes, and competition.

The content on mindxstudio.com is provided for general informational purposes only. MindxStudio makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of the information on this website. We reserve the right to change website content at any time without notice.
Limitation of Liability
To the maximum extent permitted by applicable law, MindxStudio's total liability to any client for any claim arising out of or relating to a project agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. MindxStudio shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, loss of data, or business interruption.
Force Majeure
MindxStudio shall not be liable for any failure to perform our obligations under an agreement to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, internet outages, or supply chain disruptions. We will notify you promptly of any such circumstances and resume performance as soon as reasonably practicable.
Confidentiality
Mutual Confidentiality
Both parties agree to treat all non-public information exchanged during the course of the project engagement as confidential. This includes business strategies, financial information, technical architecture, customer data, and any other information designated as confidential. Neither party shall disclose such information to any third party without the other's prior written consent, except as required by law.
NDA
For projects involving particularly sensitive business data, we are happy to enter into a formal Non-Disclosure Agreement (NDA) prior to any detailed project discussions. Please request this in your initial enquiry.
Governing Law & Disputes
Governing Law
These Terms and Conditions and any project agreements shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh.
Dispute Resolution
In the event of any dispute, MindxStudio and the client agree to first attempt to resolve the matter in good faith through direct negotiation. If a resolution cannot be reached within 30 days, both parties agree to pursue mediation before commencing formal legal proceedings.
Changes to These Terms
Right to Amend
MindxStudio reserves the right to update or modify these Terms and Conditions at any time. Changes will take effect upon posting to mindxstudio.com with an updated effective date. For existing project agreements, the terms in force at the time of signing will govern that engagement. We recommend reviewing these terms periodically. Continued use of our website following any changes constitutes acceptance of the updated terms.
